Terms of Use

These Terms of Use ("Terms") are a legal agreement between you ("you") and ZBee LLC ("we," "us," or "our"), the provider of the ZBee™ desktop application and the zbee.app website (together, "ZBee"). By downloading, installing, or using ZBee, you agree to these Terms. If you do not agree, do not use ZBee.

1. What ZBee is

ZBee is a macOS application that helps you view your own investment holdings and explore retirement and spending projections. ZBee offers a free tier that runs on built-in sample data and a paid subscription ("Pro") that connects your own accounts. ZBee is read-only: it does not place trades, move money, or change anything at your brokerage. It is an informational and educational tool.

2. Not financial advice

ZBee does not provide investment, financial, tax, legal, accounting, or retirement advice, and nothing in ZBee is a recommendation to buy, sell, or hold any security or to take any financial action. All projections and figures are hypothetical estimates based on your inputs and on general assumptions that are uncertain and will not match actual results. You are solely responsible for your financial decisions and should consult a qualified licensed professional before acting. See our Disclaimer, which is incorporated into these Terms.

3. License to use ZBee

We grant you a personal, non-exclusive, non-transferable, revocable license to download and use ZBee for your own personal, non-commercial use, subject to these Terms. A Pro subscription grants access to Pro features only while your subscription is active. You may not:

  • sell, rent, sublicense, or redistribute ZBee;
  • reverse engineer, decompile, or attempt to extract source code or embedded credentials, except to the extent this restriction is prohibited by law;
  • use ZBee to violate any law or the terms of any third-party service; or
  • remove or alter any notices in ZBee.

4. Subscriptions, billing, and automatic renewal

ZBee Pro is a recurring annual subscription. When you subscribe, you authorize us, through our payment processor Stripe, to charge the then-current annual price to your payment method. Your subscription renews automatically each year, and your payment method will be charged the renewal price, until you cancel. We will charge the renewal unless you cancel before the current period ends.

Free trials: we may offer a free trial of ZBee Pro at our discretion. A trial requires no payment method, grants Pro access to your own data for a limited period, and is limited to one per customer. A free trial does not automatically convert to a paid subscription — when it ends, the app simply returns to the free tier unless you choose to subscribe. You are charged only if and when you start a paid subscription, at which point the automatic-renewal terms above apply. We may change or end the trial program at any time.

Cancellation: you may cancel at any time from your subscription settings (the customer portal we provide) or by emailing support@zbee.app. Cancellation stops future renewals; you keep Pro access through the end of the period you already paid for, after which the app returns to the free tier.

Immediate cancellation via account deletion: alternatively, the "Delete account & data" action in the app cancels your subscription immediately and deletes your account and data (see our Privacy Policy). This ends your subscription at once rather than at period end; outside the 30-day money-back window (see Refunds), any remaining time in the current period is forfeited and not refunded.

Price changes: we may change the subscription price. We will give you advance notice, and any change will apply only to billing periods after the notice and only if you choose to continue.

Taxes: prices may be exclusive of applicable taxes, which may be added at checkout.

5. Refunds

30-day money-back guarantee. If ZBee Pro isn't right for you, email support@zbee.app within 30 days of a charge — your initial purchase or an annual renewal — and we will refund that charge in full and cancel the subscription so you are not billed again. No reason required.

After 30 days, subscription fees are non-refundable. You can still cancel at any time (see above): cancelling stops future charges and you keep Pro access through the end of the period you have already paid for, with no pro-rated refund for the remaining time. The free demo lets you evaluate ZBee fully before you subscribe.

6. Third-party services and your accounts

On the Pro tier, ZBee connects to your brokerage through its commercial integration with a third-party data provider (currently SnapTrade). ZBee brokers a read-only connection so it can read your holdings; it cannot place trades or move money, and we never see your brokerage password. Your use of any such service, and your relationship with your brokerage, are governed by their own terms and privacy policies. We are not responsible for, and make no warranties about, any third-party service, your brokerage, or the data they provide. You are responsible for maintaining your own accounts and credentials with those providers. Automatic syncing is available only for the brokerages the data provider supports; this list can change, and we do not guarantee that any particular brokerage is or will remain supported. You can check the current list at snaptrade.com/brokerage-integrations. Where a brokerage is not supported, you may still enter holdings manually.

7. Your responsibilities

You are responsible for:

  • the accuracy of the information you enter into ZBee;
  • securing the device on which ZBee and your data reside;
  • maintaining your own backups of any information you care about; and
  • complying with all laws and third-party terms applicable to your use.

8. Your data and privacy

ZBee is designed to keep your financial holdings on your own device; they are not stored on or routed through our servers. Our handling of information is described in our Privacy Policy. We do not guarantee that any data displayed in ZBee is current, complete, or accurate.

9. Evolving software

ZBee is under active development. Features and results may change between versions, and we may add, modify, or discontinue features over time.

10. No warranty

ZBEE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. We do not warrant that ZBee will be uninterrupted, error-free, secure, or that any result or figure it produces is accurate or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ZBEE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INVESTMENT LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) ZBEE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO ZBEE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR ZBEE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) US $50.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless ZBee LLC, its members, and its agents from any claims, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of ZBee or your violation of these Terms or of any law or third-party rights.

13. Termination

You may stop using ZBee at any time. We may suspend or discontinue ZBee, or terminate your license, at any time; if we discontinue the Pro service entirely, we will provide a pro-rated refund of any prepaid period that you are unable to use. Sections 2, 5, and 10–16 survive termination.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and posting the revised Terms at zbee.app. Your continued use of ZBee after changes take effect means you accept the revised Terms.

15. Governing law

These Terms are governed by the laws of the State of Rhode Island, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in the State of Rhode Island for any dispute not subject to arbitration or small-claims court.
