Terms of Use

These Terms of Use ("Terms") are a legal agreement between you ("you") and ZBee, LLC ("we," "us," or "our"), the provider of the ZBee desktop application and the zbee.app website (together, "ZBee"). By downloading, installing, or using ZBee, you agree to these Terms. If you do not agree, do not use ZBee.

1. What ZBee is

ZBee is a free macOS application that helps you view your own investment holdings and explore retirement and spending projections. ZBee is read-only: it does not place trades, move money, or change anything at your brokerage. It is an informational and educational tool.

2. Not financial advice

ZBee does not provide investment, financial, tax, legal, accounting, or retirement advice, and nothing in ZBee is a recommendation to buy, sell, or hold any security or to take any financial action. All projections and figures are hypothetical estimates based on your inputs and on general assumptions that are uncertain and will not match actual results. You are solely responsible for your financial decisions and should consult a qualified licensed professional before acting. See our Disclaimer, which is incorporated into these Terms.

3. License to use ZBee

We grant you a personal, non-exclusive, non-transferable, revocable license to download and use ZBee for your own personal, non-commercial use, subject to these Terms. You may not:

  • sell, rent, sublicense, or redistribute ZBee;
  • reverse engineer, decompile, or attempt to extract source code or embedded credentials, except to the extent this restriction is prohibited by law;
  • use ZBee to violate any law or the terms of any third-party service; or
  • remove or alter any notices in ZBee.

4. Third-party services and your accounts

ZBee can connect to your own account at a third-party data provider (currently SnapTrade) so it can read your holdings. Your use of any such service is governed by that provider's own terms and privacy policy, and by your agreements with your brokerage. We are not responsible for, and make no warranties about, any third-party service, your brokerage, or the data they provide. You are responsible for maintaining your own accounts and credentials with those providers.

5. Your responsibilities

You are responsible for:

  • the accuracy of the information you enter into ZBee;
  • securing the device on which ZBee and your data reside;
  • maintaining your own backups of any information you care about; and
  • complying with all laws and third-party terms applicable to your use.

6. Your data and privacy

ZBee is designed to keep your financial data on your own device. Our handling of information is described in our Privacy Policy. We do not guarantee that any data displayed in ZBee is current, complete, or accurate.

7. Beta / evolving software

ZBee is offered for early feedback and is under active development. It may contain bugs, may change, and may be modified or discontinued at any time without notice. Features and results may change between versions.

8. No warranty

ZBEE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. We do not warrant that ZBee will be uninterrupted, error-free, secure, or that any result or figure it produces is accurate or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ZBEE, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INVESTMENT LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) ZBEE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO ZBEE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR ZBEE IN THE TWELVE MONTHS BEFORE THE CLAIM (WHICH, FOR A FREE APPLICATION, IS US $0) OR (B) US $50.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

10. Indemnification

You agree to indemnify and hold harmless ZBee, LLC, its members, and its agents from any claims, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of ZBee or your violation of these Terms or of any law or third-party rights.

11. Termination

You may stop using ZBee at any time. We may suspend or discontinue ZBee, or terminate your license, at any time. Sections 2 and 8–13 survive termination.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and posting the revised Terms at zbee.app. Your continued use of ZBee after changes take effect means you accept the revised Terms.

13. Governing law

These Terms are governed by the laws of the State of Rhode Island, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in the State of Rhode Island for any dispute not subject to arbitration or small-claims court.
